GOLDEN, CO -- Photo Stencil LLC today filed a motion in US bankruptcy court for the sale of substantially all its assets.

The maker of SMT stencils seeks court approval for the sale of substantially all its assets to StenTech Photo Stencil for $2.39 million in cash.

The purchase price consists of $110,000 through assumption of normal payroll related expenses. Other proceeds from the sale would be used to pay off the company's debtors, including PMC Financial Services, Royal Bank America Leasing and others.

On Oct. 23, Photo Stencil had filed a liquidation plan in the US bankruptcy court. On Nov. 9 it followed up with a motion to sell substantially all its assets to The Albers Group for a purchase price of $3.36 million in cash.
